Blanver applies the principles of transparency, fairness, accountability and corporate responsibility in its management. It has internal committees and processes for conducting its business in an ethical manner.

OUR STRUCTURE

Board

Formed by partners and external consultants, the Board elects and dismisses independent auditors, deliberates on the strategy, approves budget plans, elects and dismisses company directors and approves purchases of significant amount or above budget. In monthly meetings, it assesses deliveries, monitors the economic environment and the company’s financial performance, making strategic decisions aimed at the executive level.

Ethics and Tax Audit Committee

The Ethics and Tax Committee is responsible, among others, for analyzing financial statements, ensuring that the audit properly performs its role, monitoring occurrences arising from the ombudsman channel, in which seriousness of occurrences and actions to be taken is discussed to mitigate them. The results of internal audits are also reported and discussed for better guidance.

Human Resources Committee

Responsible for different topics related to talent and compensation policies and practices, evaluating development and retention programs, developing succession plans, and monitoring organizational climate surveys.

Executive Presidency

Responsible for leading the board of directors and for the entire operation of the company, in line with our strategic planning and goals.

Executive Board

Boards responsible for their areas: New Businesses, Strategy, Human Resources, Administration, Governance and Operations.

GOVERNANCE STRUCTURES AND INSTRUMENTS

Among our governance tools are internal and external audits, Code of Conduct, Ombudsman, Human Resources, Legal and Compliance. Our Code of Conduct brings together our principles and establishes the rules that should guide our internal and external relations in our day-to-day activities.

To clarify doubts or to report violations or suspected violations of our Code of Conduct, we maintain an Ombudsman channel.

Complaints can be submitted by telephone or internet, with the option to do so anonymously. When the person identifies themselves, they receive direct feedback on measures taken.
